🏛️ LA PEAUX ATELIER AMBASSADEUR LICENSE AGREEMENT
Version 4.1 — Ambassadeur Licence

This Agreement is between:
Jacqualine Timms trading as LA PEAUX (“LA PEAUX”, “Licensor”, “The House”)
and 
The individual listed below (“Atelier Ambassadeur”, “Ambassadeur”, “Licensee”, “You”).

IMPORTANT STRUCTURE NOTICE
LA PEAUX currently operates as a sole trader business in Australia. It is intended that the business may incorporate as LA PEAUX Pty Ltd in the future.

If this occurs, this Agreement may be transferred to the new entity with no material change to your rights or obligations, subject to 30 days written notice.

1. PURPOSE & RELATIONSHIP

1.1 Independent Business Relationship
You are an independent business owner.

Nothing in this Agreement creates:

• employment
• partnership
• franchise
• agency
• joint venture

You are solely responsible for your business, clients, pricing, and compliance.

1.2 Licence Grant
You are granted a non-exclusive, non-transferable, revocable licence to operate an independent business using LA PEAUX® systems, branding, and intellectual property.

1.3 No Purchase Requirements
There are:
no sales quotas
no compulsory product purchases
no auto-ship requirements

2. LICENCE & INITIAL CERTIFICATION

2.1 Certification Fee
Upon payment of $2,000 AUD and approval, you receive:
a) Atelier Ambassadeur Certification
b) Facilitator Training
c) Access to LA PEAUX curriculum
d) Brand Kit
e) Perpetual, non-exclusive license to LA PEAUX® name, marks, and Version 1.0 of curriculum, rituals, and frameworks as delivered at certification. This license survives termination of membership but does not include updates.

2.2 Intellectual Property
All LA PEAUX® intellectual property remains owned by the Licensor.

3. ATELIER MEMBERSHIP — SYSTEMS ACCESS ONLY

3.1 Membership Requirement — Systems Access Only
To access LA PEAUX® digital systems, booking portal, curriculum updates, training academy, and operational support, you must maintain an active Atelier Membership. You may continue to identify as a LA PEAUX Atelier Ambassadeur and use the LA PEAUX name even if membership is inactive, provided you do not access or use updated systems, curriculum, digital tools, or branding assets issued after your last active membership date.

3.2 Membership Tiers
Ambassadeur Membership: $65/month AUD
Master Trainer Membership: $199/month AUD

3.3 What Membership Includes
Membership provides access to:
training and education systems
client program frameworks
booking and operational systems
curriculum updates and new releases
brand asset updates
ongoing support

3.4 Nature of Fee [Critical Clause]
The Atelier Membership fee is charged for access to digital systems, tools, training updates, and brand infrastructure only.

It is NOT:
a fee for the right to earn income
a commission-based requirement
a payment tied to recruitment
a royalty on earnings

3.5 Suspension of Access
If membership becomes inactive:

You may reactivate membership at any time to regain access to current systems.

4. PRODUCT & SUPPLIER COMPLIANCE

4.1 Approved Use
Products used must be approved suppliers.

4.2 No Retail Rule
You must not:
sell products during sessions
hold stock for resale

4.3 Client Purchases
Clients purchase directly from suppliers via your referral link.

5. BRAND STANDARDS

5.1 Approval Required
You must submit workspace and attire images before trading.

5.2 Standards
Must reflect LA PEAUX brand guidelines: neutral palette, minimal surfaces, no personal clutter visible, fresh linen, signature scent, soft lighting.

5.3 Operation Types

Home Studio
Private Shop Front - No Open Door. Private Booking only.
Mobile Service

All must be approved prior to opening.

6. ATTIRE

Attire remains property of LA PEAUX® and must not be reproduced or used after termination of all licenses. Attire must be returned within 14 days of termination at Licensee expense or $500 replacement fee applies per item.

7. INCOME & BUSINESS MODEL

7.1 Independent Earnings
You retain 100% of your service revenue.

7.2 No Guarantee
No income guarantees are provided. Elite and Master License Fees provide access to Academy tools and resources only and do not guarantee increased income.

8. CONDUCT

You must not:
make income claims
misrepresent the business
damage the brand

9. TERM & TERMINATION

9.1 Term
12 months with $99 annual renewal of base license.

9.2 Termination
30 days notice by either party.

9.3 Immediate Termination
Applies for breaches including non-payment of annual renewal or Atelier Membership fees.

9.4 Post-Termination
All branding must cease except as permitted under Clause 2.1(e) for Version 1.0 materials. All attire must be returned per Clause 6.

10. LEGAL

10.1 Insurance required
10.2 You manage your own taxes
10.3 Governed by WA law
10.4 Severability: If any clause is found invalid, the rest remains in force.
10.5 No Partnership: This is a license only. No joint venture, employment, or franchise created.

Gold Suit and signage rights are earned after 3-Month Leadership Qualification
Elite $65/mo and Master $199/mo are license fees for Academy tools/resources
